These Terms & Conditions (“Terms”) govern your access to and use of the GlocalPe website, platform, dashboards, APIs, payment technology, cross-border payment services, foreign-exchange-related services, international collection services, settlement services and related products and services (collectively, the “Services”).

1. ABOUT GLOCALPE

GlocalPe is a technology-enabled platform designed to facilitate or support cross-border payment, international collection, foreign exchange and related financial workflows for eligible businesses and users.

Depending on the specific Service, GlocalPe may provide technology, orchestration, payment interfaces, collection infrastructure or other services in collaboration with banks, payment institutions, authorised financial entities, regulated partners and technology providers.

The specific role performed by GlocalPe may differ depending on:

  • the Service;
  • the transaction;
  • the jurisdiction;
  • the applicable regulatory framework;
  • the relevant financial or payment partner.

Nothing in these Terms should be interpreted as representing that GlocalPe itself holds a particular regulatory licence or authorisation unless expressly stated.

2. ELIGIBILITY

To use the Services, you must:

  • satisfy applicable eligibility requirements;
  • provide accurate information;
  • complete applicable KYC/KYB requirements;
  • have legal capacity to enter into these Terms;
  • comply with applicable laws;
  • not be subject to applicable prohibitions or restrictions.

Additional eligibility requirements may apply to particular Services.

GlocalPe may refuse onboarding or access where eligibility requirements are not satisfied.

3. BUSINESS USERS

Where you use the Services on behalf of a business, you confirm that:

  • the business is validly established or operating as represented;
  • you are authorised to act on its behalf;
  • information provided during onboarding is accurate;
  • beneficial ownership information is accurate;
  • transaction activity is consistent with the approved business;
  • the business will comply with these Terms.

You remain responsible for the actions of your authorised users.

4. ACCOUNT REGISTRATION

Certain Services may require registration of an account.

You may be required to provide:

  • name;
  • contact information;
  • business information;
  • identity information;
  • KYC/KYB documentation;
  • banking information;
  • beneficial ownership information;
  • transaction information;
  • other information reasonably required.

You must ensure that information remains accurate and current.

5. KYC / KYB

Access to the Services may be subject to identity and business verification.

GlocalPe may conduct or facilitate:

  • KYC;
  • KYB;
  • customer due diligence;
  • enhanced due diligence;
  • beneficial ownership verification;
  • sanctions screening;
  • adverse-media screening;
  • transaction-risk assessment.

You agree to provide information and documents reasonably requested for these purposes.

Failure to complete verification may result in:

  • delayed onboarding;
  • restricted functionality;
  • transaction holds;
  • rejection of transactions;
  • suspension;
  • termination.

6. AML / CFT

You must not use the Services for:

  • money laundering;
  • terrorist financing;
  • fraud;
  • sanctions evasion;
  • unlawful movement of funds;
  • concealment of the source or destination of funds;
  • other financial crime.

GlocalPe may monitor transactions and accounts for compliance and risk purposes.

Where required, GlocalPe may:

  • request supporting documents;
  • conduct enhanced due diligence;
  • delay transactions;
  • reject transactions;
  • restrict accounts;
  • report matters to competent authorities.

7. ACCEPTABLE USE

You may use the Services only for lawful and legitimate purposes.

Your use is subject to the GlocalPe Acceptable Use Policy and Prohibited / Restricted Activities Policy.

You must not use the Services for activities that are:

  • unlawful;
  • fraudulent;
  • deceptive;
  • prohibited;
  • restricted without approval;
  • inconsistent with your approved business activity;
  • harmful to GlocalPe, its users or financial partners.

8. PROHIBITED AND RESTRICTED ACTIVITIES

GlocalPe may prohibit or restrict certain categories of business, transactions, jurisdictions or activities.

These may include activities involving:

  • financial crime;
  • unlawful gambling;
  • illegal drugs;
  • weapons;
  • counterfeit goods;
  • sanctions;
  • unauthorised financial services;
  • unlicensed foreign exchange;
  • prohibited investments;
  • other high-risk activities.

The detailed requirements are set out in the GlocalPe Prohibited / Restricted Activities Policy.

GlocalPe may update such restrictions where required by law, regulation, financial partners or risk considerations.

9. CROSS-BORDER PAYMENTS

Where enabled, GlocalPe may facilitate or support cross-border payment transactions.

A transaction may involve multiple parties, including:

  • you;
  • GlocalPe;
  • a merchant or customer;
  • banks;
  • payment institutions;
  • payment networks;
  • authorised financial entities;
  • correspondent institutions;
  • other service providers.

The availability and processing of a transaction may depend on applicable:

  • foreign-exchange requirements;
  • payment regulations;
  • sanctions;
  • banking requirements;
  • transaction screening;
  • jurisdictional restrictions.

10. INTERNATIONAL COLLECTIONS

Where enabled, GlocalPe may provide or facilitate mechanisms through which eligible businesses can receive international payments.

The specific collection method, currency, receiving account structure and settlement process may vary by:

  • jurisdiction;
  • currency;
  • business;
  • financial partner;
  • payment route;
  • applicable regulation.

Receiving funds does not necessarily mean that funds are immediately available for withdrawal or settlement.

Transactions may be subject to review, reconciliation and applicable compliance checks.

11. FOREIGN EXCHANGE

Where foreign-exchange services are available, the applicable exchange rate may depend on:

  • currency pair;
  • transaction amount;
  • market conditions;
  • liquidity;
  • financial partner;
  • applicable fees;
  • applicable taxes;
  • transaction timing.

The applicable FX rate and charges will be disclosed through the relevant transaction interface or applicable commercial documentation where required.

Exchange rates may change before a transaction is confirmed.

12. NO GUARANTEE OF FX RATE

Unless an explicitly confirmed rate is provided for a particular transaction, foreign-exchange rates displayed by GlocalPe may be indicative.

GlocalPe does not guarantee that a displayed rate will remain available until a transaction is completed.

13. TRANSACTION AUTHORISATION

You are responsible for reviewing transaction details before confirming a transaction.

Depending on the Service, you may be required to confirm:

  • amount;
  • currency;
  • beneficiary;
  • payer;
  • exchange rate;
  • fees;
  • settlement details;
  • other transaction information.

Once submitted, a transaction may not always be cancellable or reversible.

14. TRANSACTION PROCESSING

A transaction may be subject to:

  • validation;
  • authentication;
  • KYC/KYB checks;
  • sanctions screening;
  • AML/CFT monitoring;
  • fraud screening;
  • financial partner approval;
  • payment-network rules;
  • regulatory requirements.

A transaction may therefore be delayed, rejected, held or otherwise restricted.

15. TRANSACTION HOLDS

GlocalPe or its financial partners may place a transaction or funds on hold where reasonably necessary to:

  • conduct verification;
  • investigate suspected fraud;
  • comply with law;
  • conduct AML/CFT review;
  • perform sanctions screening;
  • resolve a dispute;
  • obtain additional documentation;
  • protect users or financial partners.

A hold may remain until the relevant review is completed or the applicable issue is resolved.

16. REJECTED TRANSACTIONS

A transaction may be rejected where:

  • information is incomplete;
  • verification fails;
  • the transaction is prohibited;
  • the transaction presents unacceptable risk;
  • a financial partner declines the transaction;
  • a payment network declines the transaction;
  • applicable law prevents processing;
  • sanctions or compliance concerns arise;
  • technical or operational limitations prevent processing.

Where permitted, GlocalPe may provide a reason for rejection.

17. SETTLEMENT

Settlement timing depends on:

  • transaction type;
  • currency;
  • payment route;
  • financial partner;
  • banking systems;
  • compliance review;
  • holidays and working days;
  • technical or operational circumstances.

Published settlement estimates are not guaranteed unless expressly stated as guaranteed.

18. BANK ACCOUNT AND SETTLEMENT INFORMATION

You must provide accurate settlement account information.

GlocalPe is not responsible for delays or losses caused by inaccurate or incomplete information provided by you, subject to applicable law.

Changes to settlement information may require additional verification.

19. FEES AND CHARGES

Fees may include:

  • transaction fees;
  • platform fees;
  • FX margins or charges;
  • settlement fees;
  • partner charges;
  • applicable taxes;
  • other disclosed charges.

Applicable fees will be communicated through the relevant Service, commercial agreement or transaction interface.

Fees may vary by:

  • transaction type;
  • currency;
  • volume;
  • business;
  • payment method;
  • jurisdiction;
  • financial partner.

20. TAXES

You are responsible for taxes applicable to your business, transactions, income or use of the Services, except to the extent that GlocalPe is legally required to collect or withhold applicable taxes.

Applicable taxes may be added to fees or transaction amounts where required.

21. REFUNDS, REVERSALS AND CANCELLATIONS

Refunds, reversals and cancellations are subject to:

  • the nature of the transaction;
  • payment-network rules;
  • financial-partner requirements;
  • applicable law;
  • the applicable GlocalPe Refund / Cancellation / Reversal Policy.

A transaction that has already been processed through a banking or payment network may not always be reversible.

22. CHARGEBACKS AND DISPUTES

Where applicable, transactions may be subject to:

  • disputes;
  • chargebacks;
  • reversals;
  • payment investigations.

You agree to cooperate with reasonable requests for information or documentation relating to such matters.

23. CUSTOMER AND MERCHANT RESPONSIBILITIES

If you are a merchant or business using GlocalPe, you are responsible for:

  • providing accurate information to your customers;
  • maintaining appropriate terms and refund policies;
  • delivering goods or services as represented;
  • handling customer complaints;
  • maintaining appropriate records;
  • complying with applicable consumer-protection requirements.

GlocalPe does not assume responsibility for the underlying goods or services supplied by a merchant.

24. THIRD-PARTY FINANCIAL AND PAYMENT PROVIDERS

Certain Services may depend upon third-party providers, including:

  • banks;
  • authorised dealer banks;
  • payment aggregators;
  • payment processors;
  • payment networks;
  • foreign-exchange providers;
  • KYC/KYB providers;
  • fraud-prevention providers;
  • technology providers.

Third-party providers may impose additional terms, restrictions or requirements.

You agree to comply with requirements applicable to your use of the relevant Service.

25. PAYGLOCAL AND OTHER TECHNOLOGY / PAYMENT PARTNERS

Certain GlocalPe Services may use third-party APIs, payment infrastructure or technology provided by external partners.

Where applicable, transaction processing may therefore depend upon the availability, functionality and requirements of such providers.

GlocalPe may change, replace or add technology and financial partners where reasonably necessary.

The use of a third-party provider does not necessarily mean that the provider is the contracting party for your entire relationship with GlocalPe.

26. API SERVICES

Where GlocalPe provides API access:

  • API credentials must be kept confidential;
  • API access may be subject to rate limits;
  • APIs must be used only for authorised purposes;
  • technical documentation must be followed;
  • unauthorised testing is prohibited;
  • security vulnerabilities must be responsibly reported.

GlocalPe may suspend API access where necessary for security, compliance or operational reasons.

27. ACCOUNT SECURITY

You are responsible for protecting:

  • passwords;
  • API keys;
  • authentication credentials;
  • access tokens;
  • authorised devices;
  • dashboard access.

You must promptly notify GlocalPe if you suspect:

  • unauthorised access;
  • credential compromise;
  • fraudulent activity;
  • security incidents.

28. FRAUD PREVENTION

GlocalPe may use automated and manual systems to identify suspicious activity.

These may consider:

  • transaction patterns;
  • device information;
  • identity information;
  • account information;
  • historical activity;
  • geographic information;
  • other relevant risk indicators.

GlocalPe may take protective measures where suspicious activity is identified.

29. SANCTIONS AND COUNTRY RESTRICTIONS

Transactions may be restricted based on:

  • country;
  • jurisdiction;
  • currency;
  • payer;
  • beneficiary;
  • business;
  • transaction purpose;
  • sanctions requirements;
  • financial-partner requirements.

You must not attempt to circumvent applicable restrictions.

30. RECORDS AND DOCUMENTATION

You may be required to provide:

  • invoices;
  • contracts;
  • purchase orders;
  • shipping documents;
  • tax documents;
  • proof of delivery;
  • source-of-funds information;
  • transaction-purpose information;
  • other supporting documents.

GlocalPe may retain relevant information as required by law, regulation, contract or legitimate security and compliance requirements.

31. COMMUNICATIONS

GlocalPe may communicate with you through:

  • email;
  • SMS;
  • telephone;
  • dashboard notifications;
  • application notifications;
  • other registered communication channels.

Certain communications, including security, transaction, compliance and service-related messages, may be necessary and cannot necessarily be opted out of.

32. ELECTRONIC COMMUNICATIONS

By using the Services, you consent to receiving applicable communications electronically, subject to applicable law.

Electronic records may satisfy legal requirements where permitted.

33. PRIVACY

Personal information processed through the Services is handled in accordance with the GlocalPe Privacy Policy.

Depending on the Service and relationship, GlocalPe may act as:

  • Data Fiduciary/controller;
  • Data Processor/processor;
  • an independent data-processing entity for specific lawful purposes.

34. INTELLECTUAL PROPERTY

The GlocalPe name, trademarks, logos, software, platform, APIs, designs, documentation and other proprietary materials are owned by or licensed to GlocalPe unless otherwise stated.

Except as expressly permitted, you may not:

  • copy;
  • modify;
  • distribute;
  • reverse engineer;
  • commercially exploit;
  • reproduce;
  • create derivative works from

GlocalPe proprietary materials.

35. LICENCE TO USE THE PLATFORM

Subject to these Terms, GlocalPe grants you a limited, non-exclusive, non-transferable and revocable right to access and use the Services for their intended purpose.

This licence does not transfer ownership of any GlocalPe intellectual property.

36. USER CONTENT

Where you submit information, documents, descriptions or other materials through the Services, you represent that:

  • you have the right to provide them;
  • they are accurate to the best of your knowledge;
  • they do not knowingly violate applicable law;
  • they do not knowingly infringe third-party rights.

You grant GlocalPe the limited rights necessary to process such materials for providing the Services and fulfilling legal, regulatory, security and operational requirements.

37. CONFIDENTIALITY

Each party may receive confidential information belonging to the other.

Confidential information should be used only for legitimate purposes connected with the relationship and protected against unauthorised disclosure.

Confidentiality obligations may be supplemented by a separate confidentiality agreement where applicable.

38. SERVICE AVAILABILITY

GlocalPe will use reasonable efforts to maintain the availability of the Services.

However, Services may be unavailable or interrupted due to:

  • maintenance;
  • upgrades;
  • banking or payment-network outages;
  • third-party provider failures;
  • security incidents;
  • telecommunications failures;
  • regulatory action;
  • force majeure events;
  • other circumstances outside GlocalPe's reasonable control.

39. THIRD-PARTY DEPENDENCIES

Certain Services depend upon third-party infrastructure.

GlocalPe does not guarantee the continuous availability or performance of third-party:

  • banks;
  • payment networks;
  • financial institutions;
  • APIs;
  • cloud providers;
  • telecommunications providers;
  • other service providers.

40. SUSPENSION

GlocalPe may suspend or restrict your access where reasonably necessary to:

  • protect security;
  • investigate suspected fraud;
  • conduct compliance reviews;
  • satisfy legal requirements;
  • address AML/CFT concerns;
  • conduct sanctions screening;
  • investigate prohibited activity;
  • address material breaches of these Terms;
  • protect GlocalPe or its partners.

Suspension may occur without prior notice where immediate action is reasonably necessary.

41. TERMINATION

Either party may terminate the relationship in accordance with the applicable commercial agreement.

GlocalPe may terminate or restrict Services where:

  • you materially breach these Terms;
  • required verification cannot be completed;
  • prohibited activity is identified;
  • continued use creates material legal or regulatory risk;
  • required by a financial partner or competent authority;
  • continued access creates material security or fraud risk;
  • otherwise permitted by the applicable agreement or law.

42. EFFECT OF TERMINATION

Upon termination:

  • your access may be disabled;
  • pending transactions may be processed, rejected or otherwise handled in accordance with applicable requirements;
  • outstanding fees may remain payable;
  • confidentiality obligations may continue;
  • legally required records may be retained;
  • provisions intended to survive termination will remain effective.

43. DISCLAIMERS

To the maximum extent permitted by law, GlocalPe does not guarantee that:

  • every transaction will be processed;
  • a particular exchange rate will always be available;
  • a transaction will settle within a particular time;
  • Services will always be uninterrupted;
  • a transaction will never be reversed;
  • third-party financial infrastructure will always be available.

Specific contractual commitments, if any, will be governed by the applicable commercial agreement.

44. NO INVESTMENT OR FINANCIAL ADVICE

Unless expressly stated otherwise, GlocalPe does not provide:

  • investment advice;
  • financial planning;
  • tax advice;
  • legal advice;
  • accounting advice.

Information concerning currencies, exchange rates or financial services is provided for operational or informational purposes and should not be treated as personalised financial advice.

45. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, GlocalPe will not be liable for indirect, incidental, special, consequential or punitive losses arising from the use of the Services.

Without limiting the foregoing, GlocalPe will not be responsible for losses arising solely from:

  • third-party banking failures;
  • payment-network failures;
  • inaccurate information supplied by you;
  • unauthorised actions caused by your failure to protect credentials;
  • force majeure events;
  • delays caused by regulatory or compliance review;
  • third-party service interruptions.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

Any applicable liability cap will be specified in the relevant commercial agreement where applicable.

46. INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless GlocalPe, its affiliates, officers, employees and service providers against claims, losses, liabilities, costs and expenses arising from:

  • your material breach of these Terms;
  • unlawful use of the Services;
  • fraud or misconduct;
  • violation of applicable law;
  • infringement of third-party rights;
  • unauthorised use of the Services;
  • actions of your authorised users.

This provision does not apply to the extent that the relevant claim results from GlocalPe's own unlawful conduct or liability that cannot legally be transferred.

47. FORCE MAJEURE

GlocalPe will not be responsible for failure or delay caused by circumstances beyond its reasonable control, including:

  • natural disasters;
  • war;
  • terrorism;
  • civil unrest;
  • government action;
  • regulatory restrictions;
  • banking disruptions;
  • payment-network failures;
  • telecommunications failures;
  • cyber incidents;
  • widespread technology failures;
  • labour disruptions;
  • other comparable events.

48. COMPLIANCE WITH APPLICABLE LAW

You must comply with all laws and regulations applicable to your use of the Services.

This may include requirements concerning:

  • foreign exchange;
  • payments;
  • taxation;
  • AML/CFT;
  • sanctions;
  • data protection;
  • consumer protection;
  • export controls;
  • financial reporting;
  • business licensing.

49. REGULATORY PARTNERS

Where a regulated financial institution or payment provider is involved in a Service, that provider may impose additional requirements.

You agree to comply with applicable requirements communicated through the relevant Service.

Nothing in these Terms overrides mandatory requirements imposed by a regulator, financial institution or payment network.

51. CHANGES TO SERVICES

  • changes in payment networks.

Where required, material changes will be communicated appropriately.

52. CHANGES TO THESE TERMS

GlocalPe may update these Terms from time to time.

The updated Terms will be published through the relevant GlocalPe channel.

Where required by law or contract, material changes will be communicated in advance.

Your continued use of the Services after the effective date of updated Terms constitutes acceptance of the updated Terms to the extent permitted by law.

53. SEVERABILITY

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

54. WAIVER

Failure by GlocalPe to enforce a provision of these Terms does not constitute a waiver of its right to enforce that provision later.

55. ASSIGNMENT

You may not assign or transfer your rights or obligations under these Terms without GlocalPe's prior written consent, except where permitted under the applicable agreement.

GlocalPe may assign or transfer its rights or obligations in connection with:

  • restructuring;
  • merger;
  • acquisition;
  • sale of business or assets;
  • corporate reorganisation;
  • transfer to an affiliate;
  • other legitimate business purposes,

subject to applicable law.

56. ENTIRE AGREEMENT

These Terms, together with applicable:

  • Merchant / Business Terms;
  • Service-specific terms;
  • policies;
  • commercial agreements;
  • API terms;
  • other documents expressly incorporated by reference,

constitute the agreement governing your use of the relevant Services.

Where there is a conflict, the applicable order of precedence will be determined by the relevant commercial agreement or Service-specific terms.

57. GOVERNING LAW

These Terms are governed by the laws of India.

Subject to applicable mandatory legal or regulatory requirements, courts and tribunals having jurisdiction at [CITY, STATE] shall have jurisdiction over disputes arising from these Terms.
